general business practice in order to resolve various legal and business issues. Focus will be

In support of this exciting transition, the General Counsel and Corporate Secretary, reporting to
the President and CEO, serves as the chief corporate legal officer at Bridgepoint. As an integral
and collaborative member of the Executive team, this position is an active participant in the
healthcare network, providing organization-wide legal services and serving as the Corporate
Secretary for the Board of Directors. This includes providing expert leadership on legal matters,
enterprise-wide risk management, contracts, claims management and, as the corporate secretary,
supporting the Board and its related Committees while upholding excellence in corporate
governance.
Education
; Minimum undergraduate degree in Law or a recognized equivalent required.
; Masters degree in Health Administration or related degree an asset.
Qualifications
; Member in good standing with the Law Society of Upper Canada.
; Over 5 years of practical and related experience preferably in a hospital setting.
; Demonstrated successful experience overseeing and managing legal and reputational
claims and investigations.
; Strong knowledge of and general familiarity with legislation relevant to healthcare,
hospitals, contracts and human resources.
; Knowledge and experience with current health care governance and legal framework.

Grappling with
‘guanxi’ in China

Given all the attention on China as a
trade partner, in no small measure because
of Prime Minister Stephen Harper’s recent
trip, it is important for Canadian lawyers
to understand the roles they can expect to
fulfil in that alluring but largely unfamiliar marketplace.
Foreign lawyers cannot practise Chinese law, so for Canadian firms establishing a presence in China it is a matter
of having the right contacts and the
right people.
“We act as a road map and give advice,”
said Michael Laffin, a partner at Blakes,
which opened an office in Beijing in 1998
and acted as counsel to China’s International Petroleum Exploration and Production Corp. (SINOPEC) on its US$4.65-
billion purchase of ConocoPhillips’ interest
in the Syncrude joint venture in the
Alberta oilsands.
“It is the fostering of facilitating rela-
tionships and facilitating meetings.”
Added Gowlings Lafleur Henderson’s
Scott Joliffe: “We can, in effect, serve as an
intermediary between [clients] and a Chi-
nese lawyer. That might not mean any-
thing more than helping them select the
right lawyer and stepping out of the way.”
The firm has a Beijing office and a sub-
stantial presence in China.
In China, getting things done involves
the concept of guanxi (gwan-zhi), or
working through the right partner to
achieve goals. “Culturally, there is a difference and it takes time to build trust,”
Joliffe said of guanxi.
There can be some pitfalls, though, as
firms work to build relationships. Lawyers
dealing with China and guanxi need to be
aware of the broad reach that the U.S. For-
eign Corrupt Practices Act could have on
them. What some societies may see as
bribes may be seen as facilitation arrange-
ments in another—what the Chinese
might argue as an extension of guanxi.
